These Terms of Use ("Terms") govern your access to and use of the Oraya website, including all pages, content, downloadable materials and webcasts made available on it (the "Website"). The Website is operated by Oraya, Inc. ("Oraya," "we," "us" or "our"). By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Changes take effect when they are posted, and your continued use of the Website after that date means you accept the updated Terms.

Subject to these Terms, you may view, download and print content from the Website for your own internal, non-commercial business use, provided you keep all copyright and other proprietary notices intact. No other rights are granted.

4. Downloadable content and webcasts

Some resources, such as research reports, fact sheets, solution briefs and on-demand webcasts, are available after you complete a registration form. The information you provide is handled in accordance with our Privacy Statement. Resources are provided for general information only and may not be redistributed, resold or published without our permission.

When you submit information through the Website — for example, through our contact, download or registration forms — you confirm that it is accurate and that you are entitled to provide it. 11. Governing law and venue

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Website will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the jurisdiction of those courts. Nothing in this section limits any mandatory rights you may have as a consumer under the laws of your country of residence.

12. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with our Privacy Statement and Cookie Policy, are the entire agreement between you and Oraya regarding the Website. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets.
